I Have A 1998 F150 With A True 49000 Miles And I Have Been Told The Growling Noise Is The Planatary Gears In The Transmission And It Has To Be Rebuilt To The Tune Of $2000, Tell Me It Ain't So Please.

Sounds a little fishy to me.
I would get a second opinion. Are all of your fluid levels correct?
If it needs a rebuild get a monster box or other performance trans for a few hundred more and will last longer.
By the way if you have the 5.4 you have the E40D, 4.2 and 4.6 get the 4r70w.

Unfortunately the Factory Tech 4R100 Monster Box sells for closer to $3500 and would be substantial overkill for anything less than a truck making 600+ at the rear wheels.
A stock 4R100 with a Factory Tech Accumulator will be more than enough for a truck with normal bolt ons unless you have major plans for the future.
