E40D Transmission Problem

I have an 88 Ford F-150 with an E40D transmission. I started having problems with it a few days ago. When O/D is engaged, it slips when shifting into O/D. When O/D is disengaged, it won't shift out of 2nd gear and will only run 45-50 mph. I took it to a transmission shop and they said the fluid looked ok and they dropped the pan and there was no metal shavings. But they told me it needed to be rebuilt. I had the fluid and filter changed about a year ago. The truck has 180K miles on it. If my fluid isn't burnt and I have no metal, do I really need an overhaul or could there be another problem? Please Help!

It needs to be rebuilt, sounds like the Direct Clutch plates are burned up to me, but there are several thihngs that can cause a failure without breaking any hard parts and leaving metal in the pan, with that many miles, it likely needs an overhaul.
