It should slide under the seat with no mods at all.

I am not looking for massive bass just some decent reinforcement.

Nice find. Very similar to the Clarion Phaze1.

I checked the dimensions vs my passenger seat and it looks close. There are some low hanging harnesses underneath it. The Clarion would fit better, but the woot looks like it might sound better by the specs.

I'm in the same mindset you are, nice deep reinforcement, but not massive blow-your-pants-off bass.

If you run across anymore of these units let me know!

Are you talking under the front passeger seat or under the rear bench?

I was hoping to put it under the rear bench.

You guys might also want to look at the Infinity BassLink.
10' woofer and around 250 watts rms I think.

Not sure on the dimensions though, so it might not fit under the seat.

Oh sorry, I didn't specify. That was the front un-powered passenger seat of a 2004 F150, I would think the rear seat would easily fit it on most models. I really like being able to flip the seats up and store stuff, so i'm looking to go under the passenger seat.

I installed a WOOX in my 2004 Screw and it sounds great. You won't rattle any windows in your neighborhood but it sounds good in the truck. It won't fit under the seats due to the floor rise unles you don't mind it sticking it out about four inches to the rear. I installed it under the back seat with no problem and the quick disconnects allow you to remove it if necessary for cargo.
I installed velcro to the bottom instead of screwing the mounts to the floor so it won't slide but I can remove it when I need to. I have the stock Ford CD player and speakers and intend to upgrade later but the WOOX really wakes up the stock equipment.
I bought mine on ebay for $155.00. Most retailers I checked sell it for $200 plus.
